1. PURPOSE AND SCOPE

These Terms and Conditions of Sale (the “Terms”) govern the sale of products marketed by H.ISLE (“H.ISLE” or the “Seller”), including through the website www.hisle.fr and, where applicable, sales made by email, telephone, quotation, or any other ordering method offered by H.ISLE.

They apply to customers acting either as consumers or in the course of their professional activities. The specific provisions applicable to each category of customer are set out in these Terms.

For the purposes of these Terms, the “Customer” refers interchangeably to a consumer or a professional Buyer. Where a provision applies only to one category of Customer, that category is expressly identified.

Placing an order constitutes full and unconditional acceptance of these Terms. The applicable Terms are those in force on the date the order is confirmed or, for professional orders placed on the basis of a quotation, those accepted when the order is entered into.

Any specific terms agreed in writing between H.ISLE and the Customer shall prevail over these Terms in the event of any inconsistency.

2. PRODUCTS

The products offered by H.ISLE include, in particular, lighting products and lighting accessories, as well as, where applicable, spare parts, accessories, and products made to order.

Products offered for sale are subject to availability of stock or manufacturing capacity.

H.ISLE takes the utmost care in presenting its products and describing their essential characteristics. The essential characteristics of the products are communicated to the Customer before the order is placed, in particular through product pages, price lists, catalogs, technical sheets, quotations, or any other commercial document.

Photographs, illustrations, dimensions, materials, and colors shown in commercial documents are reproduced as faithfully as possible. However, slight differences may occur, particularly as a result of screen settings, materials, finishes, or manufacturing processes.

H.ISLE may make changes to certain technical details, dimensions, materials, or finishes where such changes do not affect the essential characteristics of the product ordered.

For products made to order or according to specific Customer specifications, the characteristics, dimensions, finishes, quantities, and any technical constraints are defined in the quotation or order.

3. OFFERS AND QUOTATIONS

Offers and quotations issued by H.ISLE are valid for the period stated in the relevant document. If no validity period is specified, the offer is valid for two months from its date of issue.

The prices and terms stated in the offer are those applicable to the order, subject to acceptance within the stated validity period.

Any changes requested by the Customer after the offer has been issued or accepted may result in a change to the price and/or delivery time.

Offers are prepared based on the information provided by the Customer. The Customer is responsible for the accuracy and completeness of the information required to prepare the offer.

4. ORDER PLACEMENT AND FORMATION OF THE CONTRACT

The Customer selects the products they wish to order and, when using the Website, adds them to the shopping cart.

Before finally confirming an online order, the Customer may review its details, including the selected products, quantities, prices, delivery costs, and total amount, and may correct any errors.

For consumers, confirmation of the order constitutes an obligation to pay. The order becomes final once payment has been validated and the order has been confirmed by H.ISLE. A confirmation email will be sent to the email address provided when placing the order.

For professionals, the order becomes firm and final once the Buyer has accepted the offer or quotation in writing, without modification, and subject to the payment terms set out in these Terms or in any specific terms agreed between the Parties. H.ISLE will confirm the order in writing and, where applicable, issue an invoice or deposit invoice.

For orders subject to prior payment, fulfillment of the order and, where applicable, commencement of manufacturing will take place after receipt of the required payment.

Any change to or cancellation of an order requested after confirmation is subject to H.ISLE’s prior written approval.

Where an order concerns products manufactured specifically for the Customer or custom-made products, any cancellation or modification after manufacturing has begun may result in the invoicing of costs already incurred and of products or components specifically procured for that order.

H.ISLE reserves the right to refuse or cancel an order for a legitimate reason, including payment issues, suspected fraud, or an unresolved dispute relating to a previous order.

5. PRICES

For consumers, prices displayed on the Website are stated in euros, including all taxes (VAT included). Delivery costs and, where applicable, any other applicable charges are shown before the order is finally confirmed.

For professionals, prices are stated in euros excluding VAT, unless otherwise indicated. The applicable prices are those in effect on the date of the order and stated in the quotation, order confirmation, or professional price list issued by H.ISLE.

Shipping, special packaging, insurance, handling, customs or administrative formalities, and, more generally, any costs not expressly included in the product price may be invoiced separately in accordance with the order terms and the agreed Incoterm.

For DAP deliveries, H.ISLE is responsible for transporting the products to the agreed destination. Any customs duties, import taxes, customs clearance charges, or other charges that may apply in the destination country remain the responsibility of the recipient.

The amount of such charges is determined by the customs authorities and/or service providers in the destination country and depends in particular on local regulations, the nature and value of the products shipped. H.ISLE is therefore unable to determine these amounts in advance.

Customers are encouraged to contact the relevant customs authorities in their country before placing an order to determine any applicable duties, taxes, and customs formalities.

6. PAYMENT TERMS

For consumers, payment is due at the time of ordering, unless otherwise expressly agreed with H.ISLE. Available payment methods are those offered on the Website at the time of purchase. Payment is processed securely through the payment service providers offered on the Website. If payment is refused or fails, the order may not be confirmed or may be cancelled.

Any additional delays resulting from customs formalities are beyond H.ISLE’s control.

International shipments are made under Incoterm DAP (Delivered At Place), unless otherwise expressly agreed with the Customer.

H.ISLE reserves the right to change its prices at any time for future orders.

Any discounts, commercial terms, or price reductions granted to professionals are specified in the quotation, price list, or specific terms applicable to the Buyer.

6.1. Professionals

For any first order, H.ISLE requires payment of 100% of the order amount before shipment or before manufacturing begins.

For professional Buyers whose registered office and/or billing address is located in France, H.ISLE may grant, following validation of the Buyer’s commercial and financial standing, a payment term of 30 days from the invoice date, unless otherwise agreed in writing.

For orders with a value of €4,000 excluding VAT or more, H.ISLE may require a 50% deposit, payable before manufacturing begins, with the balance payable in accordance with the terms agreed between the Parties.

H.ISLE reserves the right to require payment in full or a larger deposit where the Buyer’s financial standing or the characteristics of the order so warrant.

Unless otherwise agreed in writing, professional Buyers located outside France must pay 100% of the order amount, including shipping costs, before shipment.

Payment shall be made by bank transfer to the account details provided by H.ISLE. Where the products are in stock, H.ISLE will ship them after receipt of payment. Where the products must be manufactured, H.ISLE will only begin manufacturing after receipt of the agreed payment or deposit.

7. LATE OR NON-PAYMENT – PROFESSIONALS

In the event of late payment, late-payment penalties shall automatically become due, without the need for any reminder or prior formal notice, from the day following the due date stated on the invoice.

The late-payment interest rate shall be equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points, in accordance with Article L. 441-10 of the French Commercial Code.

Late-payment penalties are calculated on the outstanding amount including VAT, for each day of delay.

In addition, in accordance with applicable regulations, any amount unpaid when due shall result in a fixed €40 recovery fee, without prejudice to H.ISLE’s right to seek additional compensation where the actual recovery costs incurred exceed this amount, subject to supporting evidence.

In the event of late or non-payment, H.ISLE may, in particular, suspend the performance of ongoing orders, suspend deliveries not yet made, require payment in full for any new order, terminate or rescind the relevant order under the conditions provided by law, and enforce the retention-of-title clause set out in these Terms.

8. AVAILABILITY AND MANUFACTURING

Products are offered subject to availability of stock.

Where a product is available to order or requires a manufacturing lead time, the applicable estimated lead time is stated on the product page, in the quotation, or before the order is confirmed.

Certain products may be made to order, produced as limited editions, or manufactured according to specific specifications. The applicable manufacturing lead time will then be communicated to the Customer before the sale is concluded.

In the event that a product ordered by a consumer becomes permanently unavailable after the order has been placed, H.ISLE will inform the Customer as soon as possible and refund all amounts paid for the product concerned.

9. DELIVERY TIMES

Delivery times provided by H.ISLE are determined based on the information and availability known at the time of the offer or order.

They may change depending in particular on the date the final order is received, receipt of payment or deposit, availability of raw materials and components, manufacturing lead times, transportation constraints, and applicable customs or administrative formalities.

Unless otherwise expressly agreed in writing, delivery times stated for professionals are estimates. H.ISLE will inform the Buyer as soon as possible in the event of a significant delay likely to affect the estimated delivery date.

For consumers, delivery times are stated on the product page before the order is confirmed. Where no specific delivery period is stated, delivery shall take place within the statutory period applicable.

H.ISLE may split an order into several shipments where necessary. Unless otherwise stated in advance, no additional delivery charges will be invoiced to consumers as a result of such additional shipments.

10. DELIVERY AND INCOTERMS

Delivery shall be made to the address and in accordance with the arrangements stated in the order, in accordance with the agreed Incoterm where applicable. Unless otherwise stated, the Incoterms applicable to international professional sales are those of the Incoterms® 2020 version.

The applicable Incoterm, together with its precisely designated place of delivery or destination, shall be stated in the quotation, order confirmation, or other contractual document.

Unless otherwise stated, H.ISLE sales are made under DAP, with H.ISLE arranging and paying for transport to the agreed destination.

Risk shall pass in accordance with the DAP Incoterms rules when the products are made available to the Customer on the arriving means of transport, ready for unloading, at the agreed destination.

Unless otherwise agreed, unloading at destination and import formalities, duties, and import taxes remain the responsibility of the professional Customer. For consumers, applicable charges are those stated before order confirmation and/or resulting from the delivery conditions applicable in the destination country.

Shipping, packaging, handling, insurance where contractually agreed, and any administrative or documentary charges may be re-invoiced to the Customer in accordance with the agreed terms.

The Customer is responsible for the accuracy of the delivery information provided. In the event of an incorrect or incomplete address provided by the Customer resulting in a new delivery attempt, reshipment, or additional costs, such costs may be invoiced where they arise directly from that error.

11. RECEIPT OF PRODUCTS

For consumers, the risk of loss of or damage to the products shall pass when the consumer, or a third party designated by the consumer other than the carrier, physically takes possession of the products.

Upon receipt of the order, H.ISLE recommends that consumers check the apparent condition of the package and products. In the event of damage identified upon delivery, the Customer is encouraged to make specific reservations with the carrier and contact H.ISLE as soon as possible to facilitate the handling of the claim. Failure to make reservations or an immediate claim with the carrier does not deprive the consumer of any rights available under statutory warranties.

For professionals, the Buyer must inspect, upon receipt, the quantity, apparent condition, and conformity of the products with the order. In the event of apparent damage, damaged packaging, missing items, or apparent non-conformity, the Buyer must make the necessary reservations with the carrier and notify H.ISLE within three (3) business days of receipt, specifying the nature and extent of the discrepancies identified and attaching, where relevant, photographs of the products, packaging, and any damage.

Any reservation or claim made with the carrier must be retained by the Buyer and provided to H.ISLE upon request.

Any defect or hidden defect not apparent upon receipt must be reported to H.ISLE as soon as possible after discovery, together with the information necessary to assess its nature and origin. Any claim must be made in writing and should, wherever possible, include the order number, the reference of the product concerned, the quantities affected, a description of the issue, and any information useful for its assessment.

Failure by a professional to comply with the notification period applicable to apparent discrepancies shall not deprive the Buyer of any rights it has under mandatory applicable laws.

12. RIGHT OF WITHDRAWAL – CONSUMERS

In accordance with the French Consumer Code, consumers have, for distance contracts, a period of fourteen (14) days from receipt of the product to exercise their right of withdrawal, without having to give any reason or incur any penalty, subject to the exceptions provided by law.

Where an order concerns several products delivered separately, the withdrawal period begins upon receipt of the last product.

To exercise the right of withdrawal, the Customer must notify H.ISLE of their decision before the expiry of the fourteen-day period. The request may be sent by email to hisle@hisle.fr or by post to H.ISLE, 5 rue Denis Papin, 56890 Plescop, France.

H.ISLE also provides consumers with an online feature through its Shopify interface to exercise the right of withdrawal.

The Customer may also use the model withdrawal form attached to these Terms, although its use is not mandatory.

After notifying H.ISLE of the decision to withdraw, the Customer has an additional fourteen days to return the product.

13. RETURN CONDITIONS IN THE EVENT OF WITHDRAWAL – CONSUMERS

The product must be returned within fourteen days following notification of the decision to withdraw.

The Customer must handle and use the product with all necessary care to preserve its characteristics and good condition. However, consumers may handle the product to the extent necessary to establish its nature, characteristics, and proper functioning.

The Customer may be held liable for any reduction in the value of the product resulting from handling beyond what is necessary to establish these characteristics and proper functioning.

Where possible, H.ISLE recommends that the Customer use the original packaging or packaging offering equivalent protection to protect the product during transportation.

Direct return shipping costs are borne by the Customer, unless H.ISLE has agreed to bear them or applicable law provides otherwise.

The refund shall be made using the same payment method as that used for the original transaction, unless the consumer expressly agrees to another payment method and provided that the refund does not result in any cost to the consumer.

The refund shall be made without undue delay and no later than fourteen days from the date on which H.ISLE is informed of the consumer’s decision to withdraw. For a sale of goods, H.ISLE may delay the refund until it has recovered the product or received proof that the product has been shipped back, whichever occurs first.

Where the consumer has expressly chosen a delivery method more expensive than the standard delivery method offered by H.ISLE, the additional amount shall not be refunded.

Where the right of withdrawal is exercised under the conditions provided by law, H.ISLE shall refund the consumer all amounts paid, including delivery costs corresponding to the standard delivery method offered at the time of purchase.

14. EXCEPTIONS TO THE RIGHT OF WITHDRAWAL – CONSUMERS

In accordance with the French Consumer Code, the right of withdrawal does not apply, in particular, to products made to the consumer’s specifications or clearly personalized.

This includes products manufactured specifically for the Customer according to characteristics that are not among the standard options offered to all customers, or resulting from a specific request requiring specific manufacturing.

By contrast, a simple choice among standard options offered on the product page, where these options are routinely offered to all customers, does not by itself constitute personalization automatically excluding the right of withdrawal.

Where a product is excluded from the right of withdrawal because it is personalized or custom-made, this information shall be provided to the consumer before the order is confirmed.

15. RETURNS, REPAIRS, AND REPLACEMENTS

Any return of a product must be subject to H.ISLE’s prior written approval, except where the right of withdrawal is exercised under the conditions set out in these Terms.

No product should be returned without first obtaining H.ISLE’s return instructions. Products returned without prior approval may be refused or held available to the Customer at the Customer’s own risk and expense.

Unless otherwise agreed in writing, where the right of withdrawal is exercised under the conditions set out above, or where H.ISLE is responsible for the return under a warranty or legal provision, transport costs associated with the return and reshipment of a product may be invoiced to the Customer.

For any repair, inspection, or replacement, H.ISLE may ask the Customer to return the relevant product or certain components, in accordance with the instructions provided by H.ISLE.

16. WARRANTIES

16.1. Statutory Warranties – Consumers

Products sold to consumers benefit from the applicable statutory warranties, including the statutory legal warranty of conformity provided for by Articles L.217-3 et seq. of the French Consumer Code and the statutory warranty against hidden defects provided for by Articles 1641 et seq. of the French Civil Code.

These warranties apply independently of any commercial warranty that may be offered by H.ISLE.

Consumers have a period of two years from delivery of the goods to bring a claim under the statutory warranty of conformity. In the event of a lack of conformity, the consumer may request repair or replacement of the goods, subject to the conditions provided for by Articles L.217-8 et seq. of the French Consumer Code. Bringing the goods into conformity shall be carried out at no cost to the consumer and within a reasonable period not exceeding thirty days from the consumer’s request, subject to the conditions and exceptions provided by law.

Where repair or replacement is impossible, is not carried out within the statutory period, entails costs for the consumer, or in any other case provided for by law, the consumer may obtain a price reduction or termination of the contract under the conditions provided for by Articles L.217-8 et seq. of the French Consumer Code.

The consumer may also rely on the statutory warranty against hidden defects where a hidden defect in the product renders it unfit for its intended use or so substantially diminishes that use that the buyer would not have purchased it, or would have paid a lower price, had they known of the defect. A claim based on hidden defects must be brought within two years from discovery of the defect.

16.2. H.ISLE Commercial Warranty

For professionals, unless otherwise expressly agreed in writing, H.ISLE products benefit from a commercial warranty of two (2) years from the date of delivery.

For consumers, where an H.ISLE commercial warranty is granted for a product, this shall be stated on the product page, warranty document, or any other document provided to the Customer. This commercial warranty applies subject to its specific terms and is in addition to statutory warranties.

The commercial warranty covers manufacturing defects and defects affecting the materials or functioning of the product where they result from normal use in accordance with its intended purpose.

The warranty claim is subject to the Customer providing the information necessary to assess the claim and, where requested, photographs, videos, or any other material making it possible to identify the defect.

After assessing the issue, H.ISLE may, depending on the nature of the defect and the availability of parts or products, repair the product, replace defective parts, or replace the product concerned.

The commercial warranty does not cover, in particular:

  • normal wear and tear of products and consumable components;

  • damage resulting from use not in accordance with the intended purpose of the product or the instructions provided;

  • damage resulting from incorrect installation, assembly, or maintenance;

  • damage resulting from modification or repair carried out without H.ISLE’s prior approval;

  • damage resulting from an accident, impact, negligence, or abnormal use;

  • damage resulting from environmental conditions incompatible with the product’s characteristics;

  • defects or damage resulting from information, drawings, dimensions, or specifications provided by the professional Buyer.

Where a warranty claim is made, H.ISLE may request any information or material useful in establishing the origin of the defect, including photographs, videos, serial numbers, or information concerning installation and operating conditions.

Any transport costs associated with a warranty intervention shall be determined on a case-by-case basis, taking into account in particular the origin of the defect, the applicable Incoterm, and the warranty terms agreed between the parties.

The H.ISLE commercial warranty does not affect applicable statutory warranties or any rights the Customer may have under mandatory applicable provisions.

16.3. Exclusions from Statutory Warranties – Consumers

Statutory warranties do not cover damage resulting in particular from use that does not comply with the instructions or intended purpose of the product, incorrect installation where this is not attributable to H.ISLE, unauthorized modification or intervention, abnormal or abusive use, accidental or external damage, or normal wear and tear of parts or components where such wear does not constitute a lack of conformity.

These exclusions may not have the effect of depriving consumers of the statutory warranties to which they are entitled.

17. REPAIRABILITY AND SPARE PARTS

H.ISLE is committed to the durability and repairability of its products and gives priority to repair and, where possible, the supply of spare parts in order to extend the useful life of its products.

The availability, price, and period of availability of spare parts may vary depending on the products and their components. Applicable conditions are provided upon request or stated in the documentation associated with the product.

Maintenance or repair operations requiring technical intervention must, where expressly provided for in the product documentation, be carried out in accordance with H.ISLE’s instructions or by a competent professional.

For products equipped with a rechargeable battery, the specific terms relating to the battery, normal wear, replacement, and warranty period are set out in the documents and information associated with the relevant product.

18. CUSTOM PRODUCTS AND CUSTOMER SPECIFICATIONS

Where products are manufactured according to dimensions, technical characteristics, finishes, or specific specifications requested by a professional Buyer, the Buyer is responsible for the accuracy of the information provided to H.ISLE.

The Buyer is specifically responsible for the accuracy of plans, dimensions, measurements, installation constraints, electrical specifications, and other information required for the manufacture or adaptation of the products.

H.ISLE shall not be held liable for incompatibility or inability to install resulting from incomplete, incorrect, or insufficiently precise information provided by the Buyer.

Specific specifications and technical approvals provided by the Buyer shall be subject to written approval where requested by H.ISLE.

19. LIABILITY

H.ISLE shall be liable for the proper performance of its contractual obligations in accordance with applicable law and these Terms.

H.ISLE shall not be liable for non-performance or improper performance resulting from an act attributable to the Customer, an unforeseeable and unavoidable event constituting force majeure, or an act of a third party where the applicable legal conditions are met.

Nothing in these Terms shall have the effect of limiting or excluding consumer rights arising from mandatory provisions of applicable law.

To the extent permitted by law, in sales to professionals, H.ISLE shall not be liable for indirect damages such as loss of operations, loss of revenue, loss of customers, loss of reputation, or loss of profit.

Unless otherwise required by mandatory applicable law, and except in cases of gross negligence or willful misconduct, H.ISLE’s liability in connection with a professional order shall be limited to the amount excluding VAT actually paid by the Buyer for the order concerned. This limitation shall not apply where the law prohibits such limitation of liability.

20. INTELLECTUAL PROPERTY

All elements available on the website www.hisle.fr, including texts, photographs, drawings, graphics, logos, videos, models, creations, and databases, are protected by applicable intellectual property laws.

H.ISLE products, their designs, models, creations, drawings, plans, photographs, technical documents, visual materials, catalogs, and other communication materials are protected by applicable intellectual property laws.

Any reproduction, representation, adaptation, extraction, or use, in whole or in part, of these elements without H.ISLE’s prior authorization is prohibited, subject to exceptions provided by law.

Unless otherwise agreed in writing, all rights attached to creations, designs, models, know-how, technical developments, and documents designed or created by H.ISLE remain the property of H.ISLE or its rights holders.

No transfer of intellectual property rights is granted to the professional Buyer solely as a result of purchasing the products. The Buyer undertakes in particular not to reproduce, modify, copy, market, or have H.ISLE products, designs, plans, or documents manufactured without prior written authorization.

21. PERSONAL DATA

As part of the business relationship and order processing, H.ISLE may collect and process certain personal data relating to Customers, representatives, contacts, or representatives of professional Buyers.

Such data is, in particular, necessary for the management of requests, quotations, orders, invoices, deliveries, business relationships, and H.ISLE’s legal obligations.

Data processing is carried out in accordance with applicable regulations, including Regulation (EU) 2016/679 (“GDPR”).

Information concerning the purposes of processing, retention periods, data recipients, and the rights of data subjects is detailed in H.ISLE’s Privacy Policy available on the Website.

22. CLAIMS

For any question, complaint, or issue relating to an order, the Customer may contact H.ISLE:

H.ISLE recommends that the Customer provide all information useful for processing the request, including the order number and, where relevant, photographs, videos, or technical information relating to the product concerned.

23. CONSUMER MEDIATION – CONSUMERS

In the event of a dispute, consumers must first submit a written complaint to H.ISLE in order to seek an amicable resolution.

In accordance with the French Consumer Code, after first submitting a written complaint to H.ISLE and in the absence of a satisfactory response or a response within the applicable period, the consumer may use, free of charge, the consumer mediator appointed by H.ISLE.

24. EXTENDED PRODUCER RESPONSIBILITY (EPR)

For applicable products, H.ISLE is subject to obligations arising from Extended Producer Responsibility (EPR).

The unique identification numbers currently provided by H.ISLE include:

25. FORCE MAJEURE

Neither Party shall be liable for any failure or delay resulting from an event of force majeure within the meaning of French law.

Such events may include, where they meet the legal conditions applicable to force majeure, natural disasters, fires, floods, epidemics, wars, civil unrest, general strikes, decisions by public authorities, major disruptions to transportation or energy networks, and other events reasonably beyond the control of the affected Party.

Supply difficulties, shortages of raw materials or components, unavailability of suppliers or service providers, and transportation disruptions may also justify an adjustment to delivery times or performance arrangements where they result from circumstances external to H.ISLE and reasonably prevent or delay performance of the order.

The affected Party shall inform the other Party as soon as possible. The Parties shall then endeavor to agree on measures allowing them to continue, adapt, suspend, or, where necessary, terminate performance of the order.

26. RETENTION OF TITLE – PROFESSIONALS

H.ISLE retains ownership of products sold to the professional Buyer until full payment of the price, including principal and ancillary amounts.

Payment shall be deemed to have been made only upon actual receipt of the sums due.

In the event of non-payment when due, H.ISLE may reclaim the products concerned under the conditions provided by applicable law.

Until ownership has transferred, the Buyer undertakes not to damage, conceal, or dispose of the products in any manner incompatible with H.ISLE’s rights under this clause.

27. CONFIDENTIALITY – PROFESSIONALS

Commercial, pricing, technical, or strategic information disclosed by H.ISLE to the professional Buyer in connection with the business relationship and identified as confidential, or the confidential nature of which is reasonably apparent, must be kept confidential.

The Buyer undertakes not to disclose such information to third parties without H.ISLE’s prior approval, unless such disclosure is necessary for the performance of the order or required by law.

This obligation does not apply to information that is already public or whose disclosure is required by a competent authority.

28. AMENDMENTS TO THE TERMS

H.ISLE reserves the right to amend these Terms for future sales.

The Terms applicable to an order are those accepted by the Customer at the time the order is entered into, unless otherwise agreed between the Parties.

The applicable version may be provided to the Customer upon request.

29. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and all sales made by H.ISLE are governed by French law, subject to mandatory provisions applicable to consumers.

For consumers, in the event of a dispute, the Customer may exercise the remedies available under applicable law, including before the competent courts. The consumer mediation provisions set out in Article 23 also apply.

For professionals, the Parties shall endeavor to seek an amicable resolution of any dispute relating to the interpretation, performance, or termination of their business relationship.

In the absence of an amicable resolution, and subject to mandatory applicable provisions, any dispute relating to the formation, interpretation, performance, or termination of the business relationship with a professional Buyer shall fall under the jurisdiction of the Commercial Court of Vannes, including in cases involving multiple defendants or third-party claims.

These Terms are drafted in French. In the event of a translation into another language, the French version shall prevail for contractual relations with H.ISLE, subject to mandatory provisions applicable to consumers.

30. SEVERABILITY

If any provision of these Terms is declared null, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

The Parties shall then endeavor to replace the relevant provision with a valid provision having, to the extent possible, an equivalent economic and legal effect.

31. ACCEPTANCE OF THE TERMS

Placing an order with H.ISLE constitutes full and unconditional acceptance of these Terms.

Any specific terms agreed in writing between H.ISLE and the Customer shall prevail over these Terms in the event of any inconsistency.
